Terms & Conditions for MarketWise: Merchandiser

Welcome to MarketWise: Merchandiser, a Shopify app designed to help merchants manage and optimise their store’s product merchandising. By installing or using the app, you agree to be bound by the following terms and conditions. If you do not agree to these terms, you may not use the app.
These Terms & Conditions form a legal agreement between you (“the user”, “you”, “your”) and Cartmade Ltd (“we”, “us”, “our”).
1. Use of the App
MarketWise: Merchandiser is intended for use by Shopify merchants to enhance product visibility, sort orders, and improve merchandising efficiency.
You agree to use the app only for lawful purposes and in accordance with these Terms. You may not use the app to:
- Infringe on the intellectual property rights of others.
- Upload or distribute harmful or malicious content.
- Attempt to access or interfere with other users’ data or our systems.
2. Access and Shopify Integration
To use the app, you must have an active Shopify store and grant the required access permissions during installation. This may include access to your product catalogue, order history, store information, and other relevant data.
We are not responsible for any issues arising from changes made to your store’s data while using the app.
3. Fees and Billing
The app may offer free or paid plans, which will be clearly listed on the Shopify App Store and within the app. By subscribing to a paid plan, you agree to the associated recurring charges as billed by Shopify.
We reserve the right to update pricing at any time. In such cases, we will notify you in advance through the app or via email.
4. Data and Privacy
Your data is handled in accordance with our Privacy Policy, which forms part of these Terms. By using the app, you consent to the collection and use of your data as described in the policy.
We do not sell or share your data with third parties, except as required to provide the service or comply with legal obligations.
5. Intellectual Property
All intellectual property related to MarketWise: Merchandiser, including but not limited to the app’s code, design, and branding, is owned by Cartmade Ltd or its licensors.
You may not reproduce, reverse-engineer, or distribute any part of the app without written permission.
6. Termination
You may uninstall the app at any time through your Shopify admin. Upon uninstallation, access to the app and its features will cease, and your associated data will be scheduled for deletion in accordance with our Privacy Policy.
We reserve the right to suspend or terminate access to the app if we determine that you have violated these Terms or are using the app in a harmful or unlawful manner.
7. Disclaimer of Warranties
The app is provided “as is” without warranties of any kind. We do not guarantee that the app will be error-free, uninterrupted, or meet your specific requirements.
Use of the app is at your own risk, and we disclaim all liability for any loss of data, revenue, or other damages arising from its use.
8. Limitation of Liability
To the fullest extent permitted by law, Cartmade Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the app.
Our total liability shall not exceed the amount paid by you for the app in the preceding 3-month period.
9. Modifications
We may modify these Terms & Conditions at any time. If we make significant changes, we will notify you via the app or by email. Continued use of the app after such changes constitutes your acceptance of the revised terms.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or relating to these Terms shall be resolved in the courts of the United Kingdom
